Please read these Terms and Conditions (“Terms,” “Terms and Conditions”) carefully before using the website bitreadypay.com (the “Website”) and any services provided by UAB IO Ready (“we,” “us,” or “our”), a Lithuanian-authorised Virtual Asset Service Provider (VASP), with its registered address at Eisiskiu Sodu 18-oja g. 11, LT-02194 Vilnius, Lithuania, and registration number 306194878.

By accessing or using the Website and our Services, you agree to be bound by these Terms and Conditions. If you disagree with any part of the terms, then you may not access the Website or use the Services.

1. Definitions

  • Account: Your user account on the BitReadyPay Platform.
  • Agreement: These Terms and Conditions, together with our Privacy Policy and Cookie Policy, and any other policies or guidelines we publish from time to time.
  • Applicable Law: All applicable laws, statutes, regulations, ordinances, and rules of any governmental authority, including but not limited to Lithuanian laws, European Union laws (e.g., GDPR, AML Directives, MiCA when applicable), and international regulations.
  • BitReadyPay Platform / Platform: The website bitreadypay.com and any associated applications, APIs, or interfaces through which our Services are provided.
  • Cryptocurrency / Virtual Asset: A digital representation of value that is not issued by a central bank or public authority, is not necessarily attached to a legally established currency, and does not possess a legal status of currency or money, but is accepted by natural or legal persons as a means of exchange or for investment purposes and which can be transferred, stored, and traded electronically. Examples include Bitcoin (BTC), Ethereum (ETH), etc.
  • Fiat Currency: Government-issued currency that is designated as legal tender in its country of issuance (e.g., EUR, USD).
  • KYC / AML: Know Your Customer and Anti-Money Laundering procedures, processes, and policies designed to prevent financial crime.
  • Services: The virtual currency exchange services, virtual currency wallet services, and any other related services offered by UAB IO Ready through the BitReadyPay Platform.
  • User / You: Any natural person or legal entity who accesses or uses the BitReadyPay Platform and/or Services.
  • Virtual Currency Exchange: The service of exchanging virtual currencies for fiat currencies or other virtual currencies.
  • Virtual Currency Wallet: The service of providing cryptographic key storage for virtual currencies on behalf of Users.

2. Eligibility and Account Registration

2.1. Eligibility: To use our Services, you must: * Be at least 18 years old (or the age of majority in your jurisdiction, if higher). * Be capable of entering into a legally binding agreement. * Not be a resident of, located in, or otherwise attempting to access the Services from a jurisdiction where doing so is prohibited by Applicable Law. * Comply with all KYC/AML requirements set forth by UAB IO Ready.

2.2. Account Registration: * You must register an Account to use most of our Services. * You agree to provide accurate, current, and complete information during the registration process and to update such information to keep it accurate, current, and complete. * You are responsible for safeguarding your Account password and for any activities or actions under your password. You agree not to disclose your password to any third party. UAB IO Ready cannot and will not be liable for any loss or damage arising from your failure to comply with these security obligations. * You must immediately notify us of any unauthorized use of your Account or any other breach of security.

2.3. Identity Verification (KYC/AML): * As a regulated VASP, we are legally required to conduct identity verification procedures (KYC) and implement anti-money laundering (AML) policies. * You agree to provide us with all information and documents we reasonably request to verify your identity and comply with our legal obligations. This may include, but is not limited to, government-issued identification, proof of address, and source of funds information. * We reserve the right to suspend or terminate your Account and/or Services if we are unable to verify your identity, if we suspect fraudulent activity, or if we deem it necessary to comply with Applicable Law. * Your access to Services may be limited until identity verification is completed and approved.

3. Our Services

3.1. Virtual Currency Exchange Services: We facilitate the exchange of supported Virtual Assets for Fiat Currencies and other Virtual Assets on our Platform. * All exchanges are subject to our fees, exchange rates, and any limits or restrictions we may impose. * You acknowledge that Virtual Asset prices are highly volatile and can fluctuate rapidly. We do not guarantee any particular exchange rate or profit. * Once an order is placed and confirmed, it is generally irreversible.

3.2. Virtual Currency Wallet Services: We provide non-custodial and/or custodial Virtual Asset wallet services to enable you to store, send, and receive supported Virtual Assets. * Custodial Wallets: If we offer custodial wallet services, we will hold the private keys on your behalf. While we employ robust security measures, you acknowledge that no system is entirely immune to all risks. We do not provide interest on Virtual Assets held in custodial wallets. * Non-Custodial Wallets: If we offer non-custodial wallet services, you retain full control over your private keys. We do not have access to your private keys and cannot recover them if lost. You are solely responsible for securing your private keys. * You are solely responsible for the accuracy of any Virtual Asset addresses you provide for sending or receiving transactions. Incorrect addresses may result in irreversible loss of Virtual Assets.

3.3. Service Availability: We strive to ensure the BitReadyPay Platform and Services are available at all times. However, we do not guarantee uninterrupted or error-free operation. We may suspend or terminate access to the Platform or Services for maintenance, upgrades, or unforeseen technical issues without prior notice.

3.4. No Financial Advice: We are a Virtual Asset Service Provider. We do not provide financial, investment, legal, tax, or any other professional advice. Any information provided on the Website or by our support team is for informational purposes only and should not be construed as advice. You are solely responsible for making your own decisions regarding Virtual Assets and for seeking professional advice.

3.5. Supported Virtual Assets: We only support Virtual Assets explicitly listed on our Platform. Do not attempt to send or receive any Virtual Asset not supported by our Services, as this may result in irreversible loss of funds.

4. Fees

4.1. You agree to pay all fees associated with your use of the Services as disclosed on our Website or during the transaction process. 4.2. Our fees may include, but are not limited to, trading fees, withdrawal fees, and network fees (for Virtual Asset transactions). 4.3. We reserve the right to change our fees at any time. Any changes will be posted on our Website and will apply to future transactions.

5. User Responsibilities and Prohibited Conduct

5.1. Lawful Use: You agree to use the Services only for lawful purposes and in accordance with all Applicable Law. 5.2. Prohibited Activities: You agree not to use our Services for, or in connection with, any of the following prohibited activities: * Any illegal activities, including but not limited to money laundering, terrorist financing, fraud, illegal gambling, or the sale of illegal goods/services. * Activities that infringe on intellectual property rights. * Any activity that could harm, disable, overburden, or impair the BitReadyPay Platform or interfere with any other party’s use and enjoyment of the Services. * Attempting to gain unauthorized access to any part of the Platform, other Accounts, or computer systems connected to the Services. * Engaging in market manipulation or other unfair trading practices. * Providing false, inaccurate, or misleading information. * Circumventing our security measures or identity verification procedures. 5.3. Account Security: You are solely responsible for maintaining the confidentiality of your Account credentials, including your password and any two-factor authentication (2FA) mechanisms. We strongly recommend using a strong, unique password and enabling 2FA. 5.4. Taxes: You are solely responsible for determining what, if any, taxes apply to your Virtual Asset transactions and for collecting, reporting, and remitting the correct amount of tax to the appropriate tax authorities. We are not responsible for determining whether taxes apply to your transactions, or for collecting, reporting, or remitting any taxes arising from any Virtual Asset transactions.

6. Risks Associated with Virtual Assets

You acknowledge and agree that:

  • Volatility: Virtual Assets are subject to extreme price volatility, which can result in significant and sudden losses.
  • Liquidity Risk: Some Virtual Assets may not have an active market, making it difficult to sell or convert them.
  • Technological Risk: The underlying technology of Virtual Assets (blockchain) is complex and may be subject to various technical risks, including software flaws, network attacks, and operational failures.
  • Regulatory Risk: The regulatory landscape for Virtual Assets is constantly evolving and subject to change. New regulations or enforcement actions could negatively impact the value or legality of Virtual Assets.
  • Security Risk: Despite our robust security measures, the risk of hacks, cyberattacks, or other security breaches leading to the loss or theft of Virtual Assets exists.
  • Loss of Access: Loss of your private keys (for non-custodial wallets), compromise of your Account, or failure to follow our instructions for securing your Account could lead to irreversible loss of your Virtual Assets.
  • No FDIC/Government Insurance: Virtual Assets are not protected by any government-backed deposit insurance schemes (like FDIC or similar protection schemes for traditional bank accounts).

You fully understand and accept these inherent risks of using Virtual Assets and agree that UAB IO Ready is not responsible for any losses incurred as a result of these risks.

7. Intellectual Property

7.1. All content on the BitReadyPay Platform, including text, graphics, logos, images, software, and the compilation thereof, is the property of UAB IO Ready or its content suppliers and protected by intellectual property laws. 7.2. You are granted a limited, non-exclusive, non-transferable, revocable license to access and use the Services for your personal, non-commercial use, strictly in accordance with these Terms.

8. Disclaimers

8.1. NO WARRANTY: THE WEBSITE AND SERVICES ARE PROVIDED ON AN “AS IS” AND “AS AVAILABLE” BASIS, WITHOUT ANY WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO, IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, OR COURSE OF PERFORMANCE. 8.2. ACCURACY OF CONTENT: WHILE WE STRIVE FOR ACCURACY, UAB IO READY DOES NOT WARRANT THAT THE CONTENT ON THE WEBSITE IS ACCURATE, COMPLETE, RELIABLE, CURRENT, OR ERROR-FREE. 8.3. NO FINANCIAL ADVICE: AS STATED IN SECTION 3.4, WE PROVIDE NO FINANCIAL, INVESTMENT, OR OTHER PROFESSIONAL ADVICE. YOU ARE SOLELY RESPONSIBLE FOR ALL DECISIONS YOU MAKE IN CONNECTION WITH THE SERVICES. 8.4. EXTERNAL LINKS: OUR WEBSITE MAY CONTAIN LINKS TO THIRD-PARTY WEBSITES OR SERVICES THAT ARE NOT OWNED OR CONTROLLED BY UAB IO READY. WE HAVE NO CONTROL OVER, AND ASSUME NO RESPONSIBILITY FOR, THE CONTENT, PRIVACY POLICIES, OR PRACTICES OF ANY THIRD-PARTY WEBSITES OR SERVICES.

9. Limitation of Liability

TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL UAB IO READY, NOR ITS DIRECTORS, EMPLOYEES, PARTNERS, AGENTS, SUPPLIERS, OR AFFILIATES, BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING WITHOUT LIMITATION, LOSS OF PROFITS, DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES, RESULTING FROM (I) YOUR ACCESS TO OR USE OF OR INABILITY TO ACCESS OR USE THE SERVICES; (II) ANY CONDUCT OR CONTENT OF ANY THIRD PARTY ON THE SERVICES; (III) ANY CONTENT OBTAINED FROM THE SERVICES; AND (IV) UNAUTHORIZED ACCESS, USE, OR ALTERATION OF YOUR TRANSMISSIONS OR CONTENT, WHETHER BASED ON WARRANTY, CONTRACT, TORT (INCLUDING NEGLIGENCE), OR ANY OTHER LEGAL THEORY, WHETHER OR NOT WE HAVE BEEN INFORMED OF THE POSSIBILITY OF SUCH DAMAGE, AND EVEN IF A REMEDY SET FORTH HEREIN IS FOUND TO HAVE FAILED OF ITS ESSENTIAL PURPOSE.

OUR TOTAL AGGREGATE LIABILITY TO YOU FOR ANY AND ALL CLAIMS ARISING OUT OF OR RELATING TO THESE TERMS OR YOUR USE OF THE SERVICES SHALL NOT EXCEED THE GREATER OF (A) THE AMOUNT OF FEES PAID BY YOU TO UAB IO READY IN THE TWELVE (12) MONTHS IMMEDIATELY PRECEDING THE EVENT GIVING RISE TO THE CLAIM, OR (B) EUR 100.

10. Indemnification

You agree to defend, indemnify, and hold harmless UAB IO Ready and its licensee and licensors, and their employees, contractors, agents, officers, and directors, from and against any and all claims, damages, obligations, losses, liabilities, costs or debt, and expenses (including but not limited to attorney’s fees), resulting from or arising out of a) your use and access of the Services, by you or any person using your Account and password; b) a breach of these Terms; or c) any activity related to your Account (including negligent or wrongful conduct) by you or any other person accessing the Services using your Account.

11. Suspension and Termination

11.1. We may suspend or terminate your Account and/or access to the Services immediately, without prior notice or liability, for any reason whatsoever, including without limitation if you breach the Terms. 11.2. Reasons for suspension or termination may include, but are not limited to: * Violation of these Terms or any Applicable Law. * Suspected fraudulent, illegal, or suspicious activity. * Failure to complete KYC/AML procedures or provide requested information. * Breach of our internal policies. * At the request of law enforcement or a regulatory authority. * If we discontinue the Services or a portion thereof. 11.3. Upon termination, your right to use the Services will immediately cease. If you wish to terminate your Account, you may do so by following the instructions on the Platform or contacting us. 11.4. All provisions of the Terms which by their nature should survive termination shall survive termination, including, without limitation, ownership provisions, warranty disclaimers, indemnity, and limitations of liability.

12. Governing Law and Jurisdiction

These Terms shall be governed and construed in accordance with the laws of the Republic of Lithuania, without regard to its conflict of law provisions.

Any dispute, controversy, or claim arising out of or relating to these Terms or the breach, termination, or validity thereof shall be subject to the exclusive jurisdiction of the courts of Lithuania.

13. Dispute Resolution

13.1. Informal Resolution: Before initiating any formal legal action, you agree to contact us at [email protected] to attempt to resolve the dispute informally. 13.2. Binding Arbitration (Optional, but often recommended for VASPs): Any disputes arising out of or in connection with this Agreement, including any question regarding its existence, validity, or termination, shall be referred to and finally resolved by arbitration in Vilnius, Lithuania, in accordance with the Arbitration Rules of [Specify Arbitration Institution, e.g., Vilnius Court of Commercial Arbitration] for the time being in force, which rules are deemed to be incorporated by reference into this clause. The language of the arbitration shall be English.”

14. Miscellaneous

14.1. Severability: If any provision of these Terms is held to be invalid or unenforceable by a court, the remaining provisions of these Terms will remain in effect. 14.2. Waiver: No waiver of any term or condition set forth in these Terms shall be deemed a further or continuing waiver of such term or condition or any other term or condition, and any failure of UAB IO Ready to assert a right or provision under these Terms shall not constitute a waiver of such right or provision. 14.3. Entire Agreement: These Terms (together with our Privacy Policy and Cookie Policy) constitute the entire agreement between you and UAB IO Ready regarding our Services, and supersede and replace any prior agreements, oral or otherwise, regarding the Services. 14.4. Assignment: You may not assign any of your rights or obligations under these Terms without our prior written consent. We may assign our rights and obligations under these Terms at our sole discretion. 14.5. Force Majeure: We shall not be liable for any failure to perform our obligations hereunder where such failure results from any cause beyond our reasonable control, including, without limitation, acts of God, war, riot, embargoes, acts of civil or military authorities, fire, floods, accidents, strikes, or shortages of transportation, facilities, fuel, energy, labor, or materials.

15. Changes to These Terms and Conditions

We reserve the right, at our sole discretion, to modify or replace these Terms at any time. If a revision is material, we will try to provide at least 30 days’ notice prior to any new terms taking effect. What constitutes a material change will be determined at our sole discretion.

By continuing to access or use our Services after those revisions become effective, you agree to be bound by the revised terms. If you do not agree to the new terms, you are no longer authorized to use the Services.
